1. Acceptance of Terms

By registering for, accessing, or using STOK platform ("the Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Platform.

2. Platform Purpose

STOK is a private, invitation-only listing platform that enables registered resellers to showcase their luxury bag inventory to trusted connections. The Platform serves solely as a catalogue and communication tool — it is not a marketplace, payment processor, or escrow service.

3. No Involvement in Transactions

STOK and its owner(s), operator(s), and affiliates ("we", "us", "our") do not facilitate, mediate, guarantee, or participate in any transaction, sale, purchase, exchange, or deal between users. All negotiations, payments, inspections, shipping, and agreements are conducted directly between users through their own communication channels (e.g., WhatsApp, email, in-person meetings).

We have no control over and make no representations regarding the quality, safety, legality, or authenticity of any item listed on the Platform.

4. Disclaimer of Liability

To the fullest extent permitted by law:

• We are not responsible for any loss, damage, injury, fraud, scam, misrepresentation, dispute, or claim arising from any transaction or interaction between users.
• We are not liable for the authenticity, condition, legality, or accuracy of any listing, description, photo, or price posted by users.
• We do not guarantee the identity, reputation, creditworthiness, or reliability of any user.
• We are not responsible for any counterfeit, stolen, damaged, or misrepresented goods listed or exchanged through connections made on the Platform.
• Users engage in transactions entirely at their own risk.

5. User Responsibilities

By using the Platform, you agree to:

• Provide accurate and truthful information in your profile and listings.
• Only list items that you legally own or are authorised to sell.
• Not list counterfeit, stolen, illegal, or prohibited items.
• Conduct your own due diligence before entering into any transaction with another user.
• Not use the Platform for any unlawful, fraudulent, or harmful purpose.
• Keep your account credentials secure and not share your login with others.
• Respect the invite-only nature of the Platform and only share invite codes with trusted individuals.

6. Authentication & Verification

STOK does not authenticate, verify, or certify any items listed on the Platform. Users are solely responsible for verifying the authenticity and condition of items through their own means (e.g., professional authentication services, in-person inspection).

7. Intellectual Property

All content, design, branding, and software of STOK are owned by us. Users retain ownership of their own photos and listing content but grant us a non-exclusive licence to display such content on the Platform.

8. Privacy & Data

We collect and store personal information (name, email, phone number, profile photo) necessary to operate the Platform. Your information may be visible to connected friends on the Platform. We do not sell your personal data to third parties. You may request deletion of your account and data at any time.

9. Account Termination

We reserve the right to suspend or terminate any account at our sole discretion, without notice, for any reason including but not limited to: violation of these Terms, fraudulent activity, listing of prohibited items, or any behaviour that may harm other users or the Platform's reputation.

10. Indemnification

You agree to indemnify, defend, and hold harmless STOK, its owner(s), operator(s), and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the Platform, your listings, your transactions with other users, or your violation of these Terms.

11. Limitation of Liability

STOK is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied. In no event shall our total liability exceed the amount you have paid us for use of the Platform (which is zero for free accounts).

12. Dispute Resolution

Any disputes between users must be resolved directly between the parties involved. We are not a party to any user-to-user dispute and have no obligation to mediate or resolve such disputes. Any dispute arising from these Terms shall be governed by the laws of Singapore.

13. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. We will make reasonable efforts to notify users of significant changes.
